Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are an agreement between you and LEGAL DOOR LLC ("LegalDoor," "we," "us," or "our"). They govern your access to and use of LegalDoor's website, applications, AI assistant, and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy, available at https://legaldoor.com/privacy, explains how we collect, use, disclose, and retain personal information, and it forms part of these Terms. Some features may be subject to additional terms presented when you use them, such as subscription plan terms or terms for a specific filing service. If additional terms conflict with these Terms, the additional terms control for that feature.

If you use the Service on behalf of a business, law firm, or other organization, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that organization.

2. What LegalDoor Is — and Is Not

LegalDoor is not a law firm and does not provide legal advice. LegalDoor is not a lawyer referral service.

LegalDoor provides technology for attorney search and business formation and filing assistance. The Service includes an online attorney directory, in which attorneys and law firms advertise their services through profile listings and featured placements, and online tools to prepare and submit business filings.

  • No attorney-client relationship with LegalDoor. Using the Service, including the AI assistant, does not create an attorney-client relationship with LegalDoor. Any attorney-client relationship is between you and the attorney you choose to engage, and it is formed only on the terms you and that attorney agree to. Section 2 of our Privacy Policy addresses attorney relationships and confidentiality.
  • You choose whom to contact. LegalDoor displays attorney profiles based on your search criteria and location. LegalDoor does not recommend, endorse, or select an attorney for you, and it does not evaluate whether an attorney is suitable for your matter. Displaying a profile, including in a featured placement, is not a certification of an attorney's qualifications or a guarantee of availability, suitability, or results.
  • Legal fees are between you and your attorney. Fees for legal services are agreed between you and the attorney you engage. LegalDoor does not set, collect, or share in fees for legal services, and the amount attorneys pay LegalDoor does not depend on whether you contact or hire any attorney.
  • Filing tools are not legal or tax advice. LegalDoor's business formation and filing tools help you prepare and submit filings based on the information and choices you provide. LegalDoor does not advise you on which entity type, tax election, or filing is right for your circumstances. For that kind of advice, consult an attorney or tax professional.

3. Eligibility and Accounts

You must be at least 18 years old to use the Service. You agree to provide accurate, current, and complete information and to keep it up to date.

You may create or access an account using the sign-in methods offered by the Service, which may include a third-party sign-in provider. You are responsible for keeping your account credentials confidential and for activity under your account. If you suspect unauthorized access to your account, contact us promptly as described in Section 22.

4. Attorney Search and Inquiries

Profile information. Attorney profiles contain information provided by attorneys and law firms, supplemented by public licensing records. We use public licensing records to verify certain professional information, but we do not independently verify every statement in a profile, as described in Section 3.3 of our Privacy Policy. The order in which profiles appear may depend on factors such as your search criteria and location, profile information, and whether an attorney has purchased a featured placement.

Inquiries. When you contact an attorney through the Service, we share your inquiry information and, with your authorization, an AI-generated summary of the relevant conversation with that attorney, as described in Sections 4 and 7 of our Privacy Policy. Summaries are sent without your preview and may contain errors or omit context. An attorney is not obligated to respond to you or to accept your matter.

Deadlines. Legal matters can be subject to strict deadlines. Contacting an attorney through the Service does not stop any deadline from running, and no attorney represents you until you and that attorney agree to the representation.

5. AI Assistant

The AI assistant provides general information and administrative assistance, including helping you search attorney profiles. It does not provide legal advice, and its responses may be inaccurate, incomplete, or out of date. Do not rely on the AI assistant as a substitute for advice from an attorney about your specific situation.

Submit only information that is relevant to your request and that you are authorized to disclose. Section 4 of our Privacy Policy describes how we process AI assistant inputs, outputs, and audio, including our use of third-party AI providers.

6. Business Formation and Filing Services

Your information and authority. You are responsible for the accuracy and completeness of the information you submit for a filing and for having authority to submit information about other people, such as owners, members, officers, or registered agents. LegalDoor prepares and submits filings based on the information and instructions you provide.

Providers and agencies. Depending on the service and jurisdiction, LegalDoor may prepare or submit a filing directly or use third-party filing, registered-agent, mail, or other service providers, as described in Section 5 of our Privacy Policy. Government agencies and filing authorities decide whether to accept a filing, how long processing takes, and what government fees apply. LegalDoor does not guarantee that a filing will be accepted or completed within a particular time.

Public records. Information submitted to a government agency may become publicly accessible under that agency's rules, and closing your LegalDoor account does not remove government records.

Ongoing obligations. Compliance obligations that continue after a filing, such as annual reports, tax filings, and license renewals, remain your responsibility unless you purchase a service that expressly covers them.

The filing services available in each jurisdiction are shown in the Service when you place an order.

7. Attorney and Law Firm Accounts

This section applies to attorneys, law firms, and their authorized personnel who create a profile or purchase a subscription.

  • Licensing and accuracy. You represent that each attorney listed in your profile is licensed and in good standing in each jurisdiction shown, and that your profile information is accurate. You agree to promptly update your profile if an attorney's license status changes or any information becomes inaccurate.
  • Professional obligations. You are responsible for the content of your profile and any advertising you purchase, and for complying with the rules of professional conduct and other laws that apply to you, including rules governing attorney advertising, client communications, and confidentiality. Section 10 of our Privacy Policy addresses client and prospective-client information you receive through the Service.
  • Subscriptions and featured placements. Attorneys pay LegalDoor a flat subscription fee for directory profile listings and featured placement. Subscription fees are not based on the number of inquiries, consultations, or engagements an attorney receives, or on any legal fees an attorney earns. Plan pricing, billing cycle, renewal, and cancellation terms are presented before you purchase.
  • Verification. We may request photo identification, licensing records, or other documents to verify an attorney's identity, credentials, business address, or firm affiliation, as described in Section 3.1 of our Privacy Policy. We may decline, suspend, or remove a profile or featured placement if we cannot complete verification, if a license status changes, or if the profile violates these Terms.

8. Fees and Payments

Fees for paid services and subscriptions are shown before you purchase. Payments are processed by a third-party payment processor, and LegalDoor does not store full payment card numbers. By submitting a payment, you authorize the charges for the services you select, plus any applicable taxes and government fees.

If a plan renews automatically, its renewal terms and how to cancel are disclosed before you purchase, and you may cancel before the next renewal date to avoid future charges. Refunds are available as stated in the terms presented at purchase or as required by law. Government filing fees generally cannot be recovered once a filing has been submitted.

9. Text Messaging Program

Program name: LegalDoor SMS Notifications. If you opt in to receive text messages — for example, by checking the SMS consent box on our contact form or account sign-up form — you agree to receive text messages from LegalDoor at the phone number you provide.

  1. Messages you will receive. Messages relate to your inquiries, appointments, account, and the services you use, such as inquiry follow-ups, appointment reminders, and account or service updates. We send marketing text messages only if you separately consent to them. Consent to receive text messages is not a condition of any purchase or service.
  2. Message frequency varies.
  3. Message and data rates may apply.
  4. Reply STOP to cancel; you will receive one confirmation message and no further messages.
  5. Reply HELP for help, or contact us at support@legaldoor.com / (213) 698-8897.
  6. Carriers are not liable for delayed or undelivered messages.
  7. Privacy. See our Privacy Policy at https://legaldoor.com/privacy, including Section 9, for how we handle your mobile number and consent records. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

You represent that you are the account holder or an authorized user of the phone number you provide. If you change or give up that number, reply STOP from it or contact us so we can update our records.

10. Other Communications

LegalDoor and the users you interact with may contact you through the Service or by email, telephone, or text message about your inquiries, consultations, account, filings, or requested services, as described in Section 9 of our Privacy Policy. We may record telephone calls with LegalDoor after providing notice and obtaining any consent required by law. You may unsubscribe from marketing email at any time using the link in the message; doing so does not stop necessary service communications.

11. Content You Submit

Your content and our license. You keep ownership of the reviews, ratings, profile content, posts, messages, and other material you submit to the Service ("Your Content"). You grant LegalDoor a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, format, and distribute Your Content as needed to operate, provide, and promote the Service and the features through which you share it. This license ends when Your Content is removed from the Service, except for copies already shared with other users, copies retained as described in Section 13 of our Privacy Policy, and copies we must keep to comply with law.

Visibility. Content you make public may be visible to anyone, may be indexed, copied, or retained by others, and can remain available outside LegalDoor after you delete it, as described in Section 11 of our Privacy Policy. Do not include information you intend to keep confidential in public content.

Reviews. Reviews must reflect your own genuine experience with the attorney or service you review. Attorneys and law firms may not review themselves, their colleagues, or their competitors, and may not offer anything of value in exchange for a review. Submitting a review requires signing in; you may display your username or choose "Anonymous," and LegalDoor retains the association between an anonymous review and your account. We do not remove reviews merely because they are negative.

Moderation. We may decline, remove, or limit the visibility of content that violates these Terms or applicable law, but we do not review all content before it appears and are not responsible for content submitted by users.

12. Acceptable Use

You agree not to:

  • Provide false or misleading information, or impersonate any person, attorney, law firm, or organization;
  • Submit information about another person without the authority to do so;
  • Post content that is unlawful, defamatory, harassing, discriminatory, or infringes another person's rights;
  • Send spam, unsolicited advertising, or bulk messages to attorneys or other users;
  • Scrape, harvest, or collect data from the Service by automated means, or copy attorney profiles or directory content for use outside the Service, without our written permission;
  • Interfere with, disrupt, probe, or bypass the security of the Service, or access accounts or data you are not authorized to access;
  • Reverse engineer the Service except as permitted by law; or
  • Use the Service in violation of any law or professional rule that applies to you.

13. LegalDoor's Intellectual Property

The Service, including its software, design, text, graphics, and the LegalDoor name and logo, is owned by LegalDoor or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use or your organization's internal business purposes. If you send us feedback or suggestions, we may use them without obligation to you.

14. Third-Party Services

The Service may link to or integrate with services operated by others, such as third-party sign-in providers, payment processors, filing and registered-agent providers, and video conferencing services. Those services are governed by their own terms and privacy notices, and LegalDoor is not responsible for them. Section 18 of our Privacy Policy addresses third-party services and external consultations.

15. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, LEGALDOOR DOES NOT WARRANT THE QUALIFICATIONS, AVAILABILITY, OR SERVICES OF ANY ATTORNEY; THE ACCURACY OF ATTORNEY PROFILES, REVIEWS, OR AI ASSISTANT RESPONSES; OR THE OUTCOME OR TIMING OF ANY GOVERNMENT FILING. LEGAL SERVICES ARE PROVIDED BY THE ATTORNEY YOU ENGAGE, NOT BY LEGALDOOR.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEGALDOOR AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, INCLUDING ANY ACT OR OMISSION OF AN ATTORNEY YOU CONTACT OR ENGAGE. LEGALDOOR'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID LEGALDOOR FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless LegalDoor and its officers, members, employees, and agents from claims, losses, and expenses, including reasonable attorneys' fees, arising out of Your Content, your violation of these Terms or applicable law, or your misuse of the Service. If you are an attorney or law firm, this includes claims arising out of the legal services you provide and the content of your profile and advertising.

18. Suspension and Termination

We may suspend or terminate your access to the Service, or remove a profile or content, if you violate these Terms, if required by law, or to protect the Service, its users, or others. You may stop using the Service at any time and may ask us to close your account. Information is retained after account closure as described in Section 13 of our Privacy Policy. Sections 2, 6, 11, and 13 through 21 survive termination.

19. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any such dispute must be brought exclusively in the state or federal courts located in Los Angeles County, California, and you and LegalDoor consent to the personal jurisdiction of those courts. Either party may instead bring an individual claim in a small claims court that has jurisdiction.

20. Changes to the Service and These Terms

We may change or discontinue features of the Service. We may update these Terms as the Service or applicable law changes; when we do, we will revise the effective date above and, for material changes, provide additional notice through the Service or by email. Updated Terms apply from their effective date and do not apply to disputes that arose before that date. If you continue to use the Service after updated Terms take effect, you accept them.

21. General

These Terms, together with our Privacy Policy and any additional terms that apply to a feature you use, are the entire agreement between you and LegalDoor regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.

Notice to California residents. Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
